Terms of Trade

These terms apply to all quotations issued and orders accepted by Indonesia Cacao. Placing an order constitutes acceptance of these terms unless a signed contract states otherwise.

Quotations and orders

Quotations are indicative and valid for the period stated on the quotation, or 7 days if no period is stated. Orders become binding when we issue a written order confirmation (proforma invoice) and the agreed advance payment is received.

Prices and payment

Prices are quoted per metric ton in USD under the stated incoterm. Unless agreed otherwise in writing, payment terms are 30% advance with order confirmation and the balance against a copy of the bill of lading. Bank charges outside our country are for the buyer's account.

Quality and inspection

Product specifications stated on the order confirmation are contractual. Pre-shipment samples and independent surveyor inspection (SGS or equivalent) can be arranged at the buyer's request and cost. Quality claims must be raised within 14 days of container arrival at the destination port, supported by photos and an independent surveyor report.

Shipment and risk

Risk transfers according to the agreed incoterm. Shipment dates are estimates made in good faith; we notify the buyer promptly of any delay outside our control, including vessel schedule changes, port congestion, or export permit processing.

Force majeure

Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disasters, crop failure, government export restrictions, war, or port closures. If a force majeure event continues for more than 60 days, either party may cancel the affected order without penalty.
